Terms of Service
Last updated: May 30, 2026
These Terms of Service ("Terms") govern your access to and use of the AI phone reception service (the "Service") provided by [Legal Business Name] ("SteadyReception," "we," "us," or "our"). By using the Service, you ("Client" or "you") agree to these Terms. If you do not agree, do not use the Service.
1. The Service
SteadyReception provides an AI-powered phone receptionist that answers, handles, qualifies, and routes inbound calls; books appointments; and captures messages and lead information on your behalf, according to the configuration you provide. Specific features, call volumes, and deliverables are described in your order or engagement agreement.
2. Eligibility & accounts
You must be at least 18 and able to enter a binding contract. You are responsible for the accuracy of the information you provide, for the security of your account credentials, and for all activity under your account.
3. Your responsibilities
- Use the Service only for lawful purposes and in compliance with all applicable laws and regulations.
- Ensure you have the right to forward your calls to the Service and to configure the greetings, scripts, and data you provide.
- Call recording & consent: where calls are recorded or transcribed, you are responsible for providing any legally required notices and obtaining any required consent from callers. See our Privacy Policy.
- Keep connected tools (calendar, CRM) and their permissions accurate and up to date.
4. AI limitations & no emergency use
The Service uses automated speech and AI, which can make mistakes, mishear, or produce inaccurate or incomplete information. It is a business productivity tool and is not a substitute for professional, medical, legal, or emergency services. The Service must not be used as an emergency line or for time-critical safety situations. Callers with emergencies should contact the appropriate emergency number (e.g., 911).
5. Fees & payment
Fees are set out in your order or engagement agreement and typically include a one-time setup fee and a recurring retainer. Unless stated otherwise, fees are billed in advance, are non-refundable except as required by law, and are exclusive of applicable taxes. We may revise fees on renewal with reasonable notice. [Confirm your actual fee, billing cycle, and refund terms.]
6. Service availability
We aim to keep the Service available 24/7, but we do not guarantee uninterrupted or error-free operation. The Service depends on third-party providers (telephony, AI, and connected tools), and availability may be affected by maintenance, outages, or events outside our control. We are not liable for interruptions caused by such third parties or force-majeure events.
7. Acceptable use
You agree not to:
- Use the Service for unlawful, fraudulent, harassing, or deceptive purposes.
- Attempt to disrupt, reverse engineer, or gain unauthorized access to the Service.
- Use the Service to violate the privacy or rights of any person, or to send unlawful or unsolicited communications.
We may suspend or terminate access for violations.
8. Intellectual property
We retain all rights in the Service, including our software, models, and configuration tools. You retain ownership of your business content and the data captured on your behalf, and you grant us a limited license to use it to provide and improve the Service as described in the Privacy Policy.
9. Confidentiality
Each party will protect the other's non-public information and use it only as needed to perform under these Terms.
10. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
11. Limitation of liability
To the maximum extent permitted by law, SteadyReception will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business, arising from or related to the Service. Our total aggregate liability for any claim will not exceed the amounts you paid to us in the [3] months preceding the event giving rise to the claim. [Confirm the liability cap with counsel.]
12. Indemnification
You agree to indemnify and hold harmless SteadyReception from claims arising out of your use of the Service, your content, or your breach of these Terms or applicable law — including claims related to call recording or caller consent.
13. Termination
Either party may terminate as set out in your engagement agreement. We may suspend or terminate the Service for non-payment, breach, or legal/security reasons. Upon termination, your right to use the Service ends; certain provisions survive (including fees owed, disclaimers, limitation of liability, and indemnification).
14. Governing law
These Terms are governed by the laws of [Governing jurisdiction — e.g., the Province of Ontario, Canada], without regard to conflict-of-law rules, and the courts located there will have exclusive jurisdiction over any disputes. [Confirm your jurisdiction.]
15. Changes to these Terms
We may update these Terms from time to time. We will post the updated version here and revise the "Last updated" date above. Continued use after changes take effect constitutes acceptance.
